Authorized (online) Reseller Policy

Scentsible, LLC (“~Pourri” “Scentsible,” “we,” “us,” or “our”) is committed to protecting the quality, authenticity, and customer experience associated with our ~Pourri products (the “Products”). To support these objectives, Scentsible sells Products online only through select, vetted partners and channels with prior authorization.

Unauthorized resale of any Scentsible Products on online marketplaces or other online channels without Scentsible’s prior written authorization is prohibited and may result in enforcement action taken against infringing parties.

Definitions

An Authorized Online Seller or “Authorized Online Seller” is a business that: (i) has been expressly approved by Scentsible in writing to sell Products online, and (ii) remains in compliance with this Policy and any other applicable Scentsible policies and requirements.

“Online Marketplace” includes, without limitation, Amazon, eBay, Walmart Marketplace, Target Plus, Etsy, Facebook Marketplace, TikTok Shop, and any similar third-party marketplace platform.

“Unauthorized Seller” means any person or entity that sells or offers to sell Products online without Scentsible’s prior written authorization, even if the Products are or appear to be genuine, and includes any entity that has the ability to sell Products via offline channels.

Why Authorized Online Sellers Matter

Authorized Online Sellers are partners we trust. They purchase ~Pourri Products directly from ~Pourri or an approved distributor and follow our standards for storage, handling, and marketing.

Scentsible authorizes certain partners to help ensure that customers receive:

  • Products that are authentic and unaltered;
  • Products that contain accurate product information, claims, and imagery;
  • Products that have had appropriate storage and handling; and
  • A consistent brand and customer experience.

To the fullest extent permitted by law, Scentsible may limit certain support, guarantees, promotions, or product assurances to Products purchased directly from Scentsible or an Authorized Online Seller (as defined below).

What Is an Authorized Online Seller?

As detailed above, an Authorized Online Seller is a business approved by ~Pourri to sell ~Pourri products online and that remains in compliance with our policies. Any seller offering products labeled as ~Pourri outside of our approved channels is considered unauthorized, even if the products appear genuine.

Product Integrity & Brand Use

To best protect consumer experience and brand standards Authorized Online Sellers must comply with all Scentsible requirements, including the following minimum standards:

  • Original condition: Products must be sold new and in their original, unaltered packaging, with all original components, labels, and inserts.
  • Meeting pricing & MAAP compliance: To protect authorized sellers, brand standards, and consumers, all authorized sellers must comply with advertised pricing requirements as outlined in agreements.
  • No relabeling or modification: Products may not be relabeled, repackaged, diluted, refilled, bundled with non-approved items in a misleading manner, or otherwise altered.
  • Accurate content: Information used in listings—including without limitation product names, descriptions, claims, instructions, and imagery—must be accurate and current.
  • Trademark and IP compliance: Any use of Scentsible trademarks, copyrighted content, product photography, or other brand assets must be consistent with Scentsible guidelines and may require written approval. For the avoidance of doubt, Scentsible retains sole and exclusive property of its intellectual property, including but not limiting all brands, names, logos, trademarks, service marks, trade dress, copyrights, and other intellectual property. Authorized Online Sellers do not have any proprietary rights to Scentsible’s trademarks or other intellectual property, but are authorized to use trademarks, copyrights, images, and product information for the sole purpose of reselling Scentsible’s Products. No rights are granted except as expressly authorized by Scentsible in writing.Unless expressly authorized in writing by ~Pourri, Authorized Online Sellers may sell ~Pourri Products online only through websites that are owned and operated by the Authorized Online Seller’s business. Without Scentsible’s express written consent, sales or listings on any third-party marketplace or platform are strictly prohibited, including without limitation: (i) major marketplaces such as Amazon, eBay, and Walmart Marketplace; (ii) drop-ship or fulfillment marketplaces (e.g., Newegg, Overstock); (iii) classified or peer-to-peer platforms (e.g., Craigslist, Facebook Marketplace); and (iv) social media storefronts, forums, or direct-message sales.

Products may not be relabeled, repackaged, or misrepresented

Product Sourcing

Authorized Online Sellers may source Products only from:

  • Scentsible directly; or
  • a distributor expressly authorized by Scentsible.

Products sourced through liquidation, secondary markets, closeouts, salvage, or other unauthorized channels may be treated as unauthorized inventory and may not be sold online or marketed using Scentsible brand assets without a prior written agreement.

International Sales

Unless expressly approved by Scentsible in writing, Products may not be advertised for sale, offered for sale, or shipped outside of authorized territories. Authorized Online Sellers must comply with all applicable export, import, labeling, regulatory, and consumer protection laws.

Unauthorized Sellers

Unauthorized Sellers are not permitted to sell Products online under any circumstances, including on any Online Marketplace.

Unauthorized resale can harm customers and the brand by increasing the risk of outdated inventory, improper storage/handling, inaccurate claims, missing components, and reduced traceability. Accordingly, Scentsible may take one or more of the following actions, in its sole discretion and as permitted by law:

  • contacting the Unauthorized Seller and demanding that the unauthorized listings be removed and sales cease;
  • submitting complaints or takedown requests to Online Marketplaces and other platforms (including trademark, copyright, counterfeit, or product authenticity claims where applicable);
  • suspending or terminating relationships with parties in the supply chain contributing to diversion; and/or
  • pursuing legal remedies, including injunctive relief and damages, where appropriate.

Scentsible’s decision not to enforce this Policy in a particular instance does not waive Scentsible’s right to enforce it later. All rights and remedies are expressly reserved.

Termination

Scentsible may terminate an Authorized Online Seller’s status with written or electronic notice. Upon termination of Authorized Online Seller’s status, said seller shall immediately cease:

  • selling the Products;
  • acting in any manner that may reasonably give the impression that seller is an Authorized Online Seller of Scentsible Products or has any affiliation whatsoever with Scentsible; and
  • using all Scentsible intellectual property.

Policy Updates

~Pourri reserves the right to update or modify this policy at any time. Unless otherwise provided, such amendments will take effect immediately, and an Authorized Online Seller’s continued use, advertising, offering for sale, or sale of the Products; use of Scentsible intellectual property; or use of any other information or materials provided by Scenstible to the seller will be deemed to be acceptance of the amendments.
